Abstract： System innovation is a main body of the innovation theory，enterprises are the main bodies of innovation， Ronald·Harry·Coase is the first man who analysed enterprises from the system.The transaction cost theory and the agency theory are the two main offshoots of the enterprises systems innovation theory. The motivation of going after profits and the variance of system is the main impetus of the enterprises systems innovation.
